visual studio .net setup : Setup won't setup, due to pending reboot

I'm trying to install Visual C# .NET 2003. On running step 1 (pre-reqs), setup told me to install IIS and FPE. Did that, and rebooted. Ran Windows Update. Got the two critical updates. Rebooted. Re-ran VC# Setup. Only step 1 is enabled. Select it, get this message: "Setup had detected that another program requires the computer to reboot. You must reboot the computer before installng Visual Studio .NET Prerequisites. Once the system reboots, you need to restart setup. Click OK to rebooot. Click Cancel to exit setup and install later." I've let it reboot, I've rebooted on my own, restarted, shutdown and restarted, etc. I still get this message

I don't remember the regkey that signals pending reboots..

See if there is something in
HKEY_LOCAL_MACHINE\System\CurrentControlSet\Control\Session Manager,
PendingFileRenameOperations.
