visual studio .net setup : vs.net installer detects another program requires the computer reb

I am trying to install the vs.net prereq on my new dev machine. i am getting
the folloiwng message:

"Setup has detected that another program requires the computer to reboot.
You must reboot the computer before installing Visual Studio .NET
Prerequisites. Once the system reboots, you need to start setup. Click OK
to reboot. Click Cancel to exit setup and install later."

I've rebooted a dozen times or so and nothing changes. Since this is a new
dev machine, I've uninstalled several programs (like norton security, etc.)
that came with the computer OOB.

Is there some flag or registry key that I should be looking at to install
VS.NET? What is VS.NET looking at to make this determination and how do i
fix it?
