Yes it's basically VS.NET light - and it's only for ASP.NET development.
VS.NET is better overall, but you can't beat the price of web matrix: free!

Can anyone enlighten me as to what "ASP.NET Web Matrix" is? Is this some
VS.net "light" version, or what? Anyone use it?

Here's a link to an article about it:

New WebMatrix have feature what beat VS.NET - WYSIWYG in page design for
controls instead
of strange grey boxes.

What do you mean? Even VS.net2002 can do that (maybe you have that option on
[off by default] that shows placeholders instead of live server-side
controls?)
