iis security : Failure to import cert (.key)from NT 4.0 to 2000 box

Does anyone know how to properly export a cert from a NT
4.0 box to a 2000 box? It seems that the only selection
available upon export is to save the backup file cert on
the 4.0 box as a .key file. When we try to import this on
a 2000 box, it fails. Is there a work around? Is it
necessary to generate / purchase a new cert?
